Which Form of Investment – Branch or Company?

Foreign entities can set-up branch offices in Vietnam and establish foreign investment-funded enterprises in Vietnam to carry out business activities.


There are several main different aspects between opening a branch office or establish a foreign owned company in Vietnam.
  1. Conditions
  • Permits for establishment of Vietnam-based branches of foreign enterprise shall each have a valid term of five years.
  • Foreign enterprise must choose between establish a 100% foreign capital enterprise or form a joint-venture with domestic investor or company.
  1. Certificate
  • The operation license of a Branch
  • Investment certificate of an enterprise
  1. Capital
  • Optional, foreign entity will decide how much money to invest in branch. The allocation capital for branch is capital for subordinate units.
  • Mandatory, foreign entity will need to provide minimum capital as required by Vietnam Law in conditional investment area.
  1. Obligation of owner
  • For branch, owner take full responsibility
  • For company, owner take responsibility within the capital contributed
  1. Others
  • For branch office setting up, the procedure is less complicated compared to those for the establishment of a 100% foreign owned company;  branch is able to carry out trading and some other activities as stipulated by Vietnam laws and the WTO commitments which Vietnam enters i.e. bank, insurance, securities, legal, tax, accounting services.  The business lines of a branch have to be aligned with the business lines of the headquarter of the foreign entity.
  • Setting up foreign owned company would be more complicated than the setting up of the branch office, however this form of investment has more flexibility and freedom as it is a stand alone Vietnam entity recognized under Vietnam laws.

Report the Demand to Use Foreign Workers in Vietnam

In order to manage the usage of foreign workers in Vietnam, the Vietnam state authority has requested employers to provide explanation for such need to use foreign workers.  This will be the preliminary procedure before applying for work permit in Vietnam then temporary residence card in Vietnam for foreigners.  The report of demand to use of foreign workers has to meet the following requirements:


Demand to use foreign workers: The employer (except contractors) is responsible for determining the demand to use foreign employees for each position that the Vietnamese employee has not met the requirement and submit written explanation. In case the employer is a contractor, in the bidding documents, it is required to declare the number, qualifications, professional competence and experience of foreign workers mobilized to implement bidding packages.
Recipient: Chairman of People’s Committees of provinces and cities under central authority (hereinafter referred to as the provincial People’s Committee) where the employer is headquartered.
Periodic notification period: Every year, the employer (except contractor) is responsible for determining the demand to use foreign employees for explanation.
The period of notice for the first time: Before at least 30 days from the date the employer (except contractor) plans to recruit foreign employees, the employer must report explanations as provided in Paragraph 1 Article 4 of Decree No. 102/2013 / ND-CP on the demand to use foreign workers, including work position, number, qualifications, experience, salary, working hours and submit directly to the Department of Labour – Invalids and Social Affairs of provinces and cities under central authority (hereinafter referred to as the Department of Labor – Invalids and Social Affairs) where the employer is headquartered.
The period of notice the adjustment: The employer whom is approved to use foreign employees, that have changes in the demand for foreign workers, has to directly submit the report explaining the adjustment and supplementation at least 30 days before the expected day for new recruitment, additional recruitment or recruitment to replace foreign workers with the Department of Labour – Invalids and Social Affairs where the employer is headquartered.

Forms of Disputes and Approaches to Settlement.

Dispute in Vietnam could be between parties in business transaction, foreign investors and Vietnam government, or between countries in implementing international treaties.

The formation of market economy in Vietnam took place in the context of the development in the width and depth of the economic ties at a significant fast pace that make Vietnam an important part of the world supply chain.  Vietnam suppliers could sell the goods and services to the world and the foreign supplier could also export their goods and services to Vietnam market.  Further, as the Vietnam market opens up, foreign investors could invest through various forms of investments in Vietnam i.e. acquire equities in Vietnam companies, establish business in Vietnam.  During this process, disputes are an inevitable result which has been growing in scale and complexity.
Most should agree that disputes shall be construed as the dissent, inconsistencies or conflicts of interests, rights and obligations between the parties in the economic relations at different levels. Accordingly, economic disputes can have the following basic forms:
  1. Disputes in business are between the participants in a business transaction including investments, production to consumption of products or performance of services on the market for profit purposes i.e. professional and product liability, debt disputes over a business transaction, franchise disputes,intellectual property disputes, and disputes over contract for supply of goods or services…
  2. Nghi phạm thảm sát ở Bình Phước là tình cũ của nạn nhân

Biết gia đình người yêu cũ giàu có, Nguyễn Hải Dương đã cùng Vũ Văn Tiến lên kế hoạch cướp tài sản và gây ra vụ thảm sát 6 người trong gia đình đại gia ngành gỗ ở Bình Phước.

Cục cảnh sát Hình sự - Bộ Công an - cho hay, Dương khai có quan hệ tình cảm với Lê Thị Ánh Linh (22 tuổi, con gái ông Mỹ) trong nhiều năm. Vài tháng trước vì xảy ra mâu thuẫn nên hai người chia tay.

Thời gian gần đây, Dương nảy sinh ý định cướp tài sản của gia đình người yêu cũ vì biết họ rất giàu có. Do từng nhiều lần đến căn biệt thự nhà của ông Mỹ, hắn biết mọi ngõ ngách và thói quen sinh hoạt của mọi người.
"Dương khai đã rủ Vũ Văn Tiến (cùng 24 tuổi), bàn kế hoạch chuẩn bị hung khí, đột nhập vào nhà ông Mỹ để lấy tài sản. Bước đầu, chúng tôi cho rằng, động cơ của chúng là muốn giết người, cướp tài sản", một cán bộ điều tra cho hay.
Tối 10/7, hay tin cảnh sát bắt được các hung thủ, hàng trăm người dân xã Minh Hưng và hàng xóm thân quen với gia đình ông Mỹ nhốn nháo. Mọi người bàn tán, bày tỏ thán phục với lực lượng công an. Biết hung thủ là Dương, họ khá bất ngờ bởi chiều 8/7 anh ta đến đám tang vàcòn ngủ lại. Dương luôn tỏ thái độ thương xót người yêu cũ và gia đình Linh khiến không ai nghi ngờ.
Với ngoại hình ưa nhìn và tỏ ra hiền lành, Dương từng được vợ chồng ông Mỹ thương mến. Anh ta được đại gia ngành gỗ giao ôtô trị giá nhiều tỷ đồng để đưa đón Linh đi học tại Bình Dương vào mỗi dịp cuối tuần.
"Mấy ngày qua thật quá kinh khủng, tôi chưa từng thấy xóm mình lại hoang mang đến thế. Giờ biết mấy đứa giết người bị bắt, chúng tôi thấy nhẹ nhõm, vui mừng vô cùng", bà Nguyễn Thị An - sống gần hiện trường - cho biết.
Từ Sài Gòn xuống chia sẻ nỗi đau với gia đình ông Mỹ (người trong dòng họ) từ mấy hôm nay, bà Nguyễn Thị Uyên (53 tuổi) trông hốc hác. Nghe mọi người đề cập đến việc hung thủ vừa bị bắt, bà rưng rưng: "Tôi và gia đình sẽ thức trắng đêm để sưởi ấm vong linh các em, các cháu. Những ngày qua, tôi luôn cầu nguyện, khấn vái để mọi người hiển linh, phù hộ cơ quan chức năng tìm ra hung thủ".

Trước đó, khoảng 7h ngày 7/7, bà Đoàn Thị Cẩm Loan (38 tuổi), giúp việc cho gia đình ông Lê Văn Mỹ (48 tuổi) tại căn biệt thự sát quốc lộ 13 (xã Minh Hưng, Chơn Thành) đến làm thì thấy cửa sau khóa, cửa trước khép hờ. Vào trong, bà phát hiện nhiều vết máu. Ông chủ và vợ Nguyễn Thị Ánh Nga (44 tuổi) cùng cậu con trai đã chết trên nền nhà. Chạy lên lầu, bà Loan thấy Linh và cô em họ 18 tuổi chết ở phòng ngủ.

Công an đến hiện trường phát hiện thêm thi thể cháu ông Mỹ (14 tuổi) nằm ở cổng nhà. Tất cả đều bị thương nghiêm trọng ở phần cổ. Chỉ duy nhất bé Na - 18 tháng tuổi - con út của vợ chồng nạn nhân được người giúp việc tìm thấy khi đang ngủ trong phòng và thoát nạn.
